1. Agreement
By accessing or using the ELM Bookkeeping Pro website, the ELM Data Entry App, or any services we provide (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
2. Services
ELM provides bookkeeping, payroll, accounts payable/receivable, financial reporting, and related software services. We are not a CPA firm and do not provide tax filing, tax advice, legal advice, or audit services. You are responsible for the accuracy of source documents you provide and for any business decisions you make using our deliverables.
3. Accounts
You agree to provide accurate, current, and complete information when creating an account, and to safeguard your credentials. You are responsible for all activity that occurs under your account.
4. Fees and payment
Service fees are billed monthly in advance unless otherwise agreed in writing. Fees are non-refundable except where required by law. We may adjust pricing with at least 30 days' notice.
5. Client responsibilities
You agree to (a) deliver source documents (bank statements, receipts, invoices) by the dates we mutually agree on, (b) respond to clarifying questions in a timely manner, and (c) treat ELM team members with professionalism and respect.
6. Intellectual property
All software, designs, content, and trademarks of ELM — including the ELM Data Entry App — remain the property of ELM Bookkeeping Pro. You retain ownership of your own data; we receive only a limited license to process it to deliver Services.
7. Confidentiality
Each party agrees to protect the other party's confidential information using at least the same care it uses for its own confidential information, and not to disclose it except as necessary to perform under these Terms or as required by law.
8. Disclaimers
Services are provided "as is" without warranties of any kind, except as expressly stated in a signed engagement letter. ELM disclaims all implied warranties to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, ELM's total liability under these Terms shall not exceed the fees paid by you to ELM in the three (3) months preceding the event giving rise to the claim. Neither party shall be liable for indirect, incidental, or consequential damages.
10. Termination
Either party may terminate Services with 30 days' written notice. Upon termination, ELM will deliver final work-in-progress and return your data in a reasonable format.
11. Governing law
These Terms are governed by the laws of the state in which ELM is registered. Any disputes shall be resolved in the courts located in that state, unless required otherwise by applicable consumer law.
